Unilever hoofdkantoor komt in Nederland

15/03 – De nieuwe hoofdvestiging van Unilever komt in Nederland en niet in het Verenigd Koninkrijk. Dat maakte Unilever vandaag bekend. 


Met de verhuizing zijn maximaal vijftig arbeidsplaatsen gemoeid. "We houden een zeer klein wereldwijd hoofdkantoor over”, verklaarde president-commissaris Marijn Dekkers van Unilever. De verantwoordelijkheid voor de strategie en financiën komt meer te liggen bij de drie divisies van het bedrijf: Beauty & Personal Care, Home Care en Foods & Refreshment. Vorig jaar maakte Unilever al bekend dat het hoofdkantoor van de voedingstak in Nederland wordt gevestigd. De verzorgingsdivisies blijven gevestigd in Engeland.

'Klap voor Groot-Brittanië'

De Britse media melden de verhuizing van Unilever naar Rotterdam vanochtend als groot nieuws. The Independent kopt online dat Unilever ‘na 100 jaar Londen’ naar Rotterdam verhuist. Volgens de krant betekent het schrappen van het Britse hoofdkwartier van Unilever een ‘forse klap voor de status van Groot-Brittannië als zakenkruispunt van Europa, nog voor brexit’. Ook de Guardian en de Financial Times spreken van ‘een klap’ voor het Verenigd Koninkrijk. De eerste krant schrijft dat wel degelijk 'brexit en gunstiger ondernemersvoorwaarden’ aan de basis liggen van het besluit.

 

Brexit

Unilever ontkent dat de verhuizing het gevolg is van de Brexit. De omstreden afschaffing van de dividendbelasting in Nederland speelde wel een rol, erkent Martijn Dekkers. “Dat heeft een gelijk speelveld gecreëerd, want in het Verenigd Koninkrijk betalen we die belasting ook niet.” Het feit dat het gros van de aandelen in Nederland is genoteerd, gaf volgens hem echter de doorslag.

 

Vakbonden blij

Unilever heeft nu nog een duale structuur met hoofdvestigingen in Rotterdam en Londen. De vakbonden zijn blij met het besluit van Unilever om het hoofdkantoor in Rotterdam te vestigen. ”Het hing al in de lucht, maar dit is goed nieuws, een opsteker voor Nederland”, vindt CNV-onderhandelaar Jeroen Warnaar. Dat er niet meteen grote gevolgen zijn voor de werkgelegenheid, doet daar volgens hem niks aan af. ”De keuze voor Rotterdam is vooral een belangrijk signaal hoe belangrijk Nederland voor Unilever is. Op de langere termijn kan dit wel degelijk impact hebben. Het is mooi nieuws voor Nederland, voor Rotterdam en voor de werknemers van Unilever.”

 

Opsteker voor Rotterdam

Ook de gemeente Rotterdam is de komst van Unilever een opsteker. Burgemeester Ahmed Aboutaleb: “Er waren al veel Unilever-functies geconcentreerd in Rotterdam maar de symboliek van een hoofdkantoor is mooi. Unilever kiest niet voor niets voor Rotterdam, dat betekent dat onze investeringen in de stad en in het bijzonder Central District zich uitbetalen.”

Building the Unilever of the Future

 

London/Rotterdam, 15 March 2018 - Today we are announcing the next steps in the transformation of Unilever into a simpler, more agile and more focused business. The changes will further drive long-term performance and shareholder value, and build upon our Connected 4 Growth programme.

 

  • Firstly, we are evolving our structure to be based on three Divisions:
  • These Divisions - Beauty & Personal Care, Home Care, and Foods & Refreshment - will be more empowered, with greater responsibility for making long-term strategic choices and managing financial performance.
  • All three divisions will continue to benefit from Unilever’s global scale and route to market.
  • The headquarters of the Beauty & Personal Care Division and the Home Care Division will be located in London.
  • This secures nearly £1 billion per year of continued spend in the UK, including a significant commitment to R&D.
  • The headquarters of the Foods & Refreshment Division will continue to be based in Rotterdam.

Secondly, we are proposing to simplify our corporate structure:

 

  • Unilever intends to simplify from two legal entities, N.V. and PLC, into a single legal entity incorporated in the Netherlands. This reflects the fact that the shares in N.V. account for approximately 55% of the group’s combined ordinary share capital , and trade with greater liquidity than PLC shares.
  • Unilever will continue to be listed in London, Amsterdam and New York.

 

The proposed simplification will provide greater flexibility for strategic portfolio change and help drive long-term performance.

The changes also further strengthen Unilever’s corporate governance, creating, for the first time, a ‘one share, one vote’ principle for all shareholders. Upon completion, the N.V. preference shares will be cancelled, and it is intended to close the N.V. Trust Office and terminate the related depositary receipt structure. Unilever will also continue to apply both the UK and Dutch corporate governance codes.

Unilever’s employment of 7,300 people in the UK and 3,100 people in the Netherlands will be unaffected by the changes announced today.
